Por medio de este acuerdo EL ESTUDIANTE se obliga a no revelar ni divulgar en forma alguna la información, el material, las evaluaciones de cualquier índole, la documentación, datos técnicos, así como la forma de operación integral del servicio de evaluaciones de español para candidatos de SPANISH TRAINING ACADEMY S.C. y en general cualquier mecanismo o información que se considere confidencial y que haya sido revelada por escrito o verbalmente por SPANISH TRAINING ACADEMY S.C. a EL ESTUDIANTE.
La obligación de confidencialidad a que se refiere el párrafo anterior, surtirá efectos a partir de la contratación de sus servicios para SPANISH TRAINING ACADEMY S.C. teniendo vigencia permanentemente y efectos retroactivos hasta el momento en que se iniciaron todas las negociaciones tendientes al desarrollo de esta relación.
En caso de existir alguna duda en cuanto si alguna información tiene el carácter de confidencial o no, ésta deberá ser tratada como confidencial, y por ende, estará sujeta a los términos de este acuerdo.
PRIMERA.- INFORMACIÓN CONFIDENCIAL:
Se entenderá por “INFORMACIÓN CONFIDENCIAL”: Cualquier término técnico, ficha técnica, de finanzas, económica, contable, de negocio o cualquier término contractual, así como cualquier dato, documento e información suministrados por u obtenido de SPANISH TRAINING ACADEMY S.C. así como todos los documentos, ya sean impresos, en medio magnético, medio electrónico, o por cualquier otro medio conocido o por conocer, que permita un conocimiento relacionado con la operación, y que por su importancia su divulgación sin autorización por parte de SPANISH TRAINING ACADEMY S.C. a EL ESTUDIANTE, represente o pueda representar un perjuicio económico, o en la imagen o negocios de SPANISH TRAINING ACADEMY S.C. Sea que la información se proporcione u obtenga en carácter de confidencial o no, porque el conjunto de datos técnicos, información, documentación, fórmulas y forma operativa, es considerado por ambas partes, como secreto industrial de SPANISH TRAINING ACADEMY S.C., sin importar asimismo el medio por el cual la información se haya obtenido.
El acceso a la “INFORMACIÓN CONFIDENCIAL” solo lo tendrán aquellas personas que por su rango se lo permita, quedando bajo la responsabilidad del funcionario “divulgante” y “receptor”, la custodia de dicha información, así como la responsabilidad de proporcionarla a sus mandos inferiores.
Las partes están de acuerdo en que una vez utilizada la información por EL ESTUDIANTE, la entregarán nuevamente a SPANISH TRAINING ACADEMY S.C. sin conservar evidencia escrita, verbal, o por algún otro medio, de haberla recibido, salvo consentimiento expreso y por escrito en contrario por parte de SPANISH TRAINING ACADEMY S.C.
Siempre que las partes se proporcionen información, sin importar la naturaleza de la misma, es decir si es verbal, escrita, magnética, electrónica o cualquier otra conocida o por conocer, deberá quedar constancia de ello, indicando fecha, hora, y persona o personas que tuvieron acceso a la misma; y de ser posible, debiendo devolverla en los términos del párrafo anterior.
Queda convenido que la INFORMACIÓN en general, no será usada por EL ESTUDIANTE para otros fines distintos a los establecidos en el presente Acuerdo.
Para el caso de que EL ESTUDIANTE, incluyendo sus empleados, asesores y socios, incumplan alguna de las estipulaciones del presente acuerdo, éste pagará a SPANISH TRAINING ACADEMY S.C. los daños y perjuicios que tal incumplimiento ocasione, y tal cantidad en ningún caso será menor de $50,000.00 USD (CINCUENTA MIL DÓLARES AMERICANOS 00/100) o su equivalente en moneda nacional.
SEGUNDA.- VIGENCIA DE PROTECCIÓN:
La duración de protección a que hace referencia el presente acuerdo, será permanente y a partir de la primera recepción de información, obligación que subsistirá para EL ESTUDIANTE.
Ninguna modificación o adición a este contrato surtirá efectos, salvo que se encuentre por escrito y debidamente firmado por ambas partes.
TERCERA.- TERMINACIÓN:
Este acuerdo durará tanto tiempo como EL ESTUDIANTE y SPANISH TRAINING ACADEMY S.C. mantengan una relación.
Una vez terminado este acuerdo, cada parte deberá cesar todo uso de la Información Confidencial de la otra parte, y retornar todas las copias y/o originales de la Información Confidencial. Subsistiendo en todo caso, su obligación de guardar el secreto industrial y la información confidencial.
CUARTA.- INFORMACIÓN NO SUJETA A CONFIDENCIALIDAD:
Las partes están de acuerdo en que por Información Confidencial, no se entiende información o datos:
a) Que posteriormente se convierta en información del dominio público sin que la parte receptora, haya violado este contrato.
b) Que se trate de INFORMACIÓN cuya divulgación sea requerida por una autoridad administrativa competente en ejercicio de sus funciones o una orden judicial de los tribunales competentes.
QUINTA.- Este Acuerdo de Confidencialidad constituye el acuerdo total entre las partes, y anula todo contrato o convenio previo entre ellas con respecto a los asuntos aquí requeridos.
Está prohibido hacer uso de cualquier herramienta digital o impresa, así como reproducir y compartir imágenes y archivos compartidos del curso de español de Beginner’s Course Online de Spanish Training Academy, así como proporcionar el usuario y contraseña a otras personas que no hayan comprado el curso. De ser así se dará de baja el usuario y no tendrá acceso a nuestros materiales y cursos, perderá el derecho de acceso a cualquiera de nuestros cursos.
By means of this agreement, THE STUDENT undertakes not to reveal or disclose in any way the information, material, evaluations of any kind, documentation, technical data, as well as the form of integral operation of the Spanish assessment service for candidates of SPANISH TRAINING ACADEMY SC and, in general, any mechanism or information that is considered confidential and that has been revealed in written or verbally form by SPANISH TRAINING ACADEMY S.C. to THE STUDENT.
The obligation of confidentiality referred to in the previous paragraph will take effect from the contracting of its services for SPANISH TRAINING ACADEMY S.C. having permanent validity and retroactive effects until the moment in which all the negotiations aimed at the development of this relationship began.
If there is any doubt as to whether any information is confidential or not, it must be treated as confidential, and therefore, it will be subject to the terms of this agreement.
FIRST.- CONFIDENTIAL INFORMATION:
“CONFIDENTIAL INFORMATION” shall be understood as: Any technical term, technical, financial, economic, accounting, business or any contractual file, as well as any data, document and information supplied by or obtained from SPANISH TRAINING ACADEMY S.C. as well as all documents, whether printed, in magnetic medium, electronic medium, or by any other known or unknown means, that allows knowledge related to the operation, in its broadest sense of the company and that due to its importance its disclosure without authorization by SPANISH TRAINING ACADEMY SC to THE STUDENT, represents or may represent an economic damage, or in the image or business of SPANISH TRAINING ACADEMY S.C. Whether the information is provided or obtained confidentially or not, because the set of technical data, information, documentation, formulas and operational form, is considered by both parties, as an industrial secret of SPANISH TRAINING ACADEMY SC, regardless of the means by which the information has been obtained.
Access to “CONFIDENTIAL INFORMATION” will only be granted to those persons who, due to their rank, allow it, remaining under the responsibility of the “disseminating” and “receiving” official, the custody of said information, as well as the responsibility of providing it at their people in charge.
The parties agree that once the information has been used by THE STUDENT they will deliver it again to SPANISH TRAINING ACADEMY S.C. without preserving written, verbal, or other evidence of having received it, except with the express written consent to the contrary by SPANISH TRAINING ACADEMY S.C.
Whenever the parties provide information, regardless of its nature, that is, if it is verbal, written, magnetic, electronic or any other known or to be known, it must be recorded, indicating date, time, and person or persons who had access to it; and if possible, having to return it in the terms of the previous paragraph.
It is agreed that the INFORMATION in general will not be used by THE STUDENT for purposes other than those established in this Agreement.
In the event that THE STUDENT, including its employees, advisors and partners, breach any of the stipulations of this agreement, he will pay SPANISH TRAINING ACADEMY S.C. the damages and losses that such breach causes, and such amount in no case will be less than $ 50,000.00 USD (FIFTY THOUSAND AMERICAN DOLLARS 00/100) or its equivalent in national currency.
SECOND.- VALIDITY OF PROTECTION:
The duration of protection referred to in this agreement will be permanent and from the first receipt of information, an obligation that will subsist for THE STUDENT. No modification or addition to this contract will take effect, unless it is in writing and duly signed by both parties.
THIRD.- TERMINATION:
This agreement will last as long as THE STUDENT and SPANISH TRAINING ACADEMY S.C. maintain a working and / or professional relationship. Upon termination of this agreement, each party must cease all use of the other party’s Confidential Information, and return all copies and / or originals of the Confidential Information. Subsisting in any case, its obligation to keep the industrial secret and confidential information.
FOURTH.- INFORMATION NOT SUBJECT TO CONFIDENTIALITY:
The parties agree that Confidential Information does not mean information or data:
a) That it subsequently becomes information in the public domain without the receiving party, its subsidiaries or affiliates having violated this contract.
b) That it is INFORMATION whose disclosure is required by a competent administrative authority in the exercise of its functions or a judicial order from the competent courts.
FIFTH.– This Confidentiality Agreement constitutes the total agreement between the parties, and cancels any previous contract or agreement between them with respect to the matters required herein.
You may not use any digital or printed tools, reproduce and share images and shared files of the Spanish Beginner’s Course Online course of the Spanish Training Academy, or provide your password and password to others who have not purchased the course. If this is the case, the user will be terminated and will not have access to our materials and courses, he will lose the right to access any of our courses.
Su privacidad y confianza son muy importantes para Spanish Training Academy, S.C., por ello queremos dar a conocer al (los) titular(es) de los datos personales (en lo sucesivo, (el) los “Titular(es)” o “Usted”) de cómo en Spanish Training Academy salvaguardamos la integridad, privacidad y protección de sus Datos Personales (como dicho término se define más adelante), en apego a la Ley Federal de Protección de Datos Personales en Posesión de los Particulares (“Ley de Datos”) y su Reglamento y las características esenciales de su tratamiento, para que los Titulares tengan pleno control y decisión sobre éstos. Por ello, le recomendamos que lea atentamente la siguiente información.
El responsable, Spanish Training Academy S.C. (en adelante, “STA”) es una sociedad legalmente constituida y válidamente existente de conformidad con las leyes de los Estados Unidos Mexicanos, con domicilio en Juan Hernández y Dávalos 182, int.103 col. Ampliación Asturias, Cuauhtémoc, Ciudad de México, México, C.P. 06890.
Al inscribirse Usted al servicio de Evaluación de Español para candidatos y/o cualesquiera otros servicios y/o cursos que de tiempo en tiempo se impartan en y/o a través de STA, Usted acepta que STA recabará los Datos Personales necesarios como parte de su inscripción. STA podrá recabar de Usted, enunciando sin limitar (conjuntamente referidos como “Datos Personales”), nombre completo, CURP, RFC, domicilio, fecha de nacimiento, números de teléfono, correos electrónicos, domicilio, nacionalidad, etc. En caso de solicitar facturación electrónica, adicionalmente se podrá recabar de Usted RFC, CURP, domicilio fiscal y demás datos necesarios para tales efectos. STA podrá recabar del Titular datos complementarios, de manera enunciativa más no limitativa, para el proceso de inscripción, y dependiendo del curso, escolaridad, ocupación, entorno familiar, datos del comportamiento de Usted en lo social, emotivo, salud, deportivo, así como datos a recabarse al momento de inscripción y seguimiento que permitan evaluar al Titular relacionado con los cursos de STA. De igual forma, STA recabará información de los Titulares cuando estos se comuniquen vía telefónica para solicitar información de los cursos que se imparten en STA, tales como nombre, domicilio, edad, género, teléfonos, correos electrónicos, etc.
Los Datos Personales mencionados en el apartado anterior que STA recabe, serán utilizados como parte del expediente del Titular, como información de contacto para localizarlo, en caso de emergencias, informes, avisos y/o recados que necesite ser entregados en forma directa, para verificar colegiaturas, recordatorios y/o retrasos en el pago de las mismas. De igual forma, los Datos Personales del Titular serán utilizados para el cumplimiento de un control administrativo, generar matrículas, informes, evaluación de calidad en los servicios y/o estudios internos estadísticos sobre servicios de enseñanza y/o evaluación en STA. En términos generales, cualquier razón que implique en forma directa o indirecta la prestación de servicios de enseñanza y/o evaluación proporcionados a través de STA, así como la evaluación de la prestación de los mismos. Todos y cada uno de los Datos Personales que el Titular ingrese o proporcione voluntariamente al responsable, por cualquier medio, se sujetarán a las políticas de seguridad y privacidad interna.
STA podrá transferir sus datos personales a dependencias gubernamentales que de manera oficial requieran a STA a efectos de que ésta proporcione información del Titular, siempre que dicha información se encuentre en poder de STA.
STA en ningún momento y bajo ninguna circunstancias facilitará, venderá, regalará ni rentará información alguna de Usted a terceros, salvo lo señalado anteriormente y en los casos establecidos por la Ley de Datos. El Responsable se compromete a no transferir Datos Personales, salvo las disposiciones previstas en la Ley de Datos, su reglamento, y demás ordenamientos legales aplicables.
Para el ejercicio de los derechos de acceso, rectificación, cancelación, oposición y revocación del consentimiento del tratamiento de los Datos Personales (derechos “ARCO”) que los Titulares han proporcionado al responsable para efectos de los servicios de evaluación de nivel de español para candidatos y/o cualesquiera otros servicios y/o cursos que de tiempo en tiempo se impartan en y/o a través de STA, ésta última acuerda que podrán ser hechos valer por el Titular ya sea por sí o mediante representante legal, debiendo identificarse o acreditarse correctamente, llamando al teléfono 5533055178, describiendo de manera clara y precisa los Datos Personales respecto de los que se busca ejercer alguno de los derechos ARCO.
En la llamada para ejercer derechos ARCO, Usted deberá proporcionar una dirección de correo electrónico y/o número telefónico para poderle comunicar la respuesta a su solicitud o poderla contactar en caso de requerir información adicional en relación con su petición. Así mismo, deberá enviarnos al correo electrónico contacto@spanish-ta.com copia de su identificación oficial vigente a efectos de acreditar su identidad (credencial de elector, pasaporte, cartilla militar, cédula profesional o forma migratoria (FM-3 ó el que en su caso sustituya a ésta última) y en su caso, de actuar a través de un representante legal, deberá adjuntar en forma adicional, los documentos que acrediten la identidad y facultades de representación de éste último (copia simple en formato impreso o electrónico de la carta poder simple con firma autógrafa del Titular, del mandatario o representante y sus correspondientes identificaciones oficiales vigentes: credencial de elector, pasaporte, cartilla militar, cédula profesional o forma migratoria ( FM-3 ó el que en su caso sustituya a ésta última).
En el caso de las solicitudes de rectificación de Datos Personales, el Titular respectivo deberá también indicar las modificaciones a realizarse y aportar la documentación que sustente su petición.
El responsable de la protección de Datos Personales responderá al Titular respectivo en un plazo máximo de 20 (veinte) días hábiles, contados desde la fecha en que se recibió la solicitud de acceso, rectificación, cancelación u oposición, la determinación adoptada, a efecto de que, si resulta procedente, se haga efectiva la misma dentro de los 15 (quince) días naturales siguientes a la fecha en que se le comunique la respuesta al Titular.
Cualquier cambio sustancial o total que se realice al presente Aviso de Privacidad, podrá ser realizado por STA publicándose un aviso informando sobre el cambio en nuestra página www.spanish-ta.com o mediante correo electrónico a la dirección del Titular que para tales efectos se tenga registrado. Es responsabilidad de Usted revisar el contenido actualizado del Aviso de Privacidad disponible en la página de Internet www.spanish-ta.com . STA asume que si el Titular no se opone a los cambios, significa que ha leído, entendido y consentido los términos ahí establecidos. Recomendamos que Usted visite, de tiempo en tiempo, la página de Internet de STA www.spanish-ta.com para saber de cualquier modificación a éste Aviso de Privacidad.

By registering for the Spanish Evaluation service for candidates and / or any other services and / or courses that are taught in and / or through STA, you agree that STA will collect the necessary Personal Data as part of your registration . Similarly, STA will collect information from the Holders when they communicate by telephone to request information on the courses taught at STA, such as name, address, age, gender, telephone numbers, emails, etc.
The Personal Data mentioned in the previous section that STA collects, will be used as part of the Holder’s file, as contact information to locate him/her, in case of emergencies, reports, notices and / or messages that need to be delivered directly, to verify tuition fees, reminders and / or delays in paying them. Likewise, the Holder’s Personal Data will be used to comply with an administrative control, generate enrollments, reports, quality evaluation of services and / or internal statistical studies on teaching and / or evaluation services in STA. In general terms, any reason that directly or indirectly implies the provision of teaching and / or evaluation services provided through STA, as well as the evaluation of their provision. Each and every one of the Personal Data that the Holder enters or voluntarily provides to the person in charge, by any means, will be subject to the internal security and privacy policies.
STA may transfer your personal data to government agencies that officially require STA in order for it to provide information on the Holder, given that such information is in the possession of STA.
STA at no time and under no circumstances will facilitate, sell, give away or rent any information about you to third parties, except as indicated above and in the cases established by the Ley de Datos. The Responsible Party undertakes not to transfer Personal Data, except for the provisions set forth in the Ley de Datos, its regulations, and other applicable legal regulations.
